1. Acceptance of these terms

These Terms of Service govern your use of vpscientific.com and any quotation, order or supply agreement between you and VP Scientific, a sole proprietorship owned by Judith A. Trudeau with a business address at 132 Carlton Lane, Dover, DE 19904, USA. By using this website or placing an order, you agree to these terms. If you are acting for an organization, you confirm that you are authorized to bind it.

2. Website content and accuracy

Product descriptions, specifications and images are provided for general guidance and are based on information supplied by manufacturers. Specifications change without notice. Nothing on this website constitutes an offer to sell; a binding contract is formed only when VP Scientific issues a written order acknowledgement against your purchase order.

3. Quotations and pricing

Quotations are valid for 30 days unless a different validity period is stated. Prices are in United States dollars and exclude sales tax, freight, hazardous-materials surcharges and any duties. We reserve the right to correct clerical or pricing errors before shipment; where a correction is material, you may cancel the affected line without charge.

4. Orders, acceptance and cancellation

We may decline or cancel any order, including where an item is discontinued, allocated by the manufacturer, or where supply would breach applicable law or our restricted-goods policy. Customer-initiated cancellations are accepted at no cost before the item is picked or released to the manufacturer; after that point, cancellation may be subject to the return terms below.

5. Payment terms

Unless Net 30 terms have been approved in writing, payment is due before dispatch. Approved accounts must pay within 30 days of invoice date. Overdue balances may accrue interest at 1.5% per month or the maximum permitted by Delaware law, whichever is lower, and we may suspend open orders while an account is past due. Reasonable collection costs are recoverable.

6. Delivery, title and risk

Delivery estimates are given in good faith and are not guaranteed. Title passes on receipt of payment in full; risk of loss passes on delivery to the carrier. Shortages or visible damage must be reported within five business days of delivery so we can pursue a carrier claim.

7. Intended use and restrictions

Products supplied by VP Scientific are intended for laboratory and research use by trained personnel. They are not supplied for in-vitro diagnostic use on patients, for administration to humans or animals, or for consumer use. You are responsible for confirming that a product is suitable for your application, for handling and storing it in accordance with the manufacturer's instructions and applicable law, and for lawful disposal.

We do not supply DEA-controlled substances, radiological materials, select agents, or goods subject to export licensing. You agree not to resell or divert products in breach of United States export control or sanctions law.

8. Returns

Returns are handled under our Shipping & Returns Policy, which forms part of these terms. A return authorization number must be obtained before any product is sent back.

9. Warranty

Products carry the warranty offered by their manufacturer; we pass through and administer those warranties on your behalf. Except as expressly stated, and to the maximum extent permitted by law, VP Scientific disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by applicable law, VP Scientific's total liability arising out of or relating to any order is limited to the amount paid for the specific products giving rise to the claim. We are not liable for indirect, incidental, special or consequential damages, including loss of data, loss of samples, lost profits or experiment downtime. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.

11. Indemnity

You agree to indemnify VP Scientific against claims, losses and reasonable legal costs arising from your misuse of products, your failure to comply with applicable law, or your breach of these terms.

12. Intellectual property

The VP Scientific name, logo, site design, photography and written content are our property or used under licence, and may not be copied, republished or used for commercial purposes without written permission. Manufacturer names and trademarks appear for identification only and remain the property of their owners.

13. Acceptable use of this website

You may not attempt to gain unauthorized access to the site or its infrastructure, scrape content at a rate that degrades service, introduce malicious code, or use the site to send unsolicited communications. We may restrict access where use threatens the security or availability of the site.

14. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including manufacturer allocation, carrier disruption, natural disaster, labour action, epidemic, government action or utility failure. We will notify you promptly and work to minimize the impact.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The state and federal courts located in Kent County, Delaware have exclusive jurisdiction. The parties will attempt in good faith to resolve any dispute by negotiation before commencing proceedings.

16. Changes and severability

We may update these terms; the version in force at the time your order is acknowledged governs that order. If any provision is held unenforceable, the remaining provisions continue in effect. Questions should be sent to manager@vpscientific.com.
